Terms & Conditions

These Terms & Conditions govern your access to and use of the websites, applications, software, communications services, and other products and services provided by ServePS Software Solutions, LLC (“ServePS,” “we,” “us,” or “our”).
ServePS products and services include, without limitation:
- ServeSUITE, including its modules, applications, mobile applications, web applications, integrations, and related services;
- TextToDo, a standalone productivity and text messaging application;
- MedicDialr, a standalone communications application;
- other software, applications, websites, communications services, and products offered by ServePS.
These products may collectively be referred to as the “Services.”
By accessing or using the Services, creating an account, or opting in to receive communications from us, you agree to these Terms & Conditions and our Privacy Policy.
Certain ServePS products, enterprise subscriptions, agency deployments, integrations, or services may also be subject to additional agreements, order forms, subscription agreements, business associate agreements, data processing agreements, acceptable use policies, or other terms. If additional written terms apply to a particular Service, those terms will supplement these Terms & Conditions. If there is a direct conflict, the more specific written agreement will control for that Service.
Use of ServePS Services
You may use the Services only for lawful purposes and in accordance with these Terms.
You agree not to:
- use the Services in violation of any applicable law or regulation;
- attempt to gain unauthorized access to accounts, systems, networks, or data;
- interfere with or disrupt the operation, security, or availability of the Services;
- probe, scan, or test the vulnerability of the Services without written authorization;
- introduce malware, malicious code, or other harmful material;
- use the Services to impersonate another person or organization;
- misrepresent your affiliation with ServePS or another organization;
- access or use data that you are not authorized to access;
- circumvent authentication, authorization, role-based access controls, security controls, or usage limitations;
- reverse engineer or attempt to extract proprietary source code except where expressly permitted by law;
- use the Services for unlawful, abusive, fraudulent, deceptive, threatening, harassing, or harmful communications.
ServePS may suspend or restrict access to the Services when reasonably necessary to protect users, customers, systems, data, or the security and integrity of the Services.
Accounts
Some ServePS Services require an account.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You agree to provide accurate information and promptly update information that becomes inaccurate or outdated.
You must notify ServePS promptly if you believe your account or credentials have been compromised.
Certain ServePS accounts may be created, administered, or controlled by an employer, agency, organization, or other customer. In those situations, your organization’s administrators may control your access, permissions, roles, and certain information associated with your account.
ServeSUITE
ServeSUITE is ServePS’s integrated software platform and may include multiple modules, applications, and services for organizational operations, personnel management, scheduling, communications, documentation, asset management, financial administration, and other functions.
Access to individual ServeSUITE modules and features may depend on an organization’s subscription, configuration, permissions, and role-based access controls.
Organizations using ServeSUITE are responsible for determining which users are authorized to access their organization’s information and for configuring their users, permissions, workflows, and data appropriately.
Certain ServeSUITE modules may be subject to additional terms based on the type of information processed or functionality provided.
TextToDo
TextToDo is a standalone ServePS product and is not part of the ServeSUITE platform.
TextToDo allows users to create, manage, receive, and interact with tasks, reminders, notifications, and related communications.
Certain TextToDo features may use SMS or other communications channels when specifically enabled or requested by the user.
SMS participation is optional and is not required to use TextToDo unless a particular feature inherently depends on SMS communication.
MedicDialr
MedicDialr is a standalone ServePS communications product and is not part of the ServeSUITE platform unless expressly integrated with another ServePS Service.
MedicDialr may provide communications-related functionality such as calling, messaging, contact management, notifications, or other communications services.
Availability of particular features may depend on device capabilities, telecommunications providers, third-party services, user permissions, and applicable laws and regulations.
Text Messaging (SMS/MMS) Terms
ServePS Services, including TextToDo, MedicDialr, ServeSUITE, and other ServePS products, may send SMS or MMS messages to users who have affirmatively opted in to receive them.
Messages may include, depending on the Service and the user’s selections:
- task reminders;
- task notifications;
- scheduling notifications;
- account notifications;
- system notifications;
- operational notifications;
- security or authentication messages;
- communications initiated or requested by the user;
- other Service-related notifications that the user has enabled.
Consent
By affirmatively opting in to SMS messaging for a ServePS Service, you consent to receive recurring automated or non-automated text messages from or on behalf of ServePS Software Solutions, LLC at the mobile telephone number you provide.
Consent to receive SMS marketing or informational messages is not a condition of purchasing a product or service.
Where SMS functionality is optional, declining SMS consent does not prevent you from otherwise using the applicable Service.
Consent applies only to the messaging program, product, or functionality described to you at the time you opt in.
Message Frequency
Message frequency varies based on the Service, features you enable, actions you take, notifications you request, your organization’s configuration where applicable, and other activity associated with your account.
Message and Data Rates
Message and data rates may apply according to the terms of your wireless carrier and mobile service plan.
ServePS does not charge your wireless carrier’s messaging or data fees and is not responsible for those charges.
Opting Out
You may opt out of SMS messages at any time by replying STOP to a message.
After receiving a valid opt-out request, we may send one final confirmation message acknowledging your unsubscribe request. You will no longer receive SMS messages associated with that messaging program unless you subsequently provide consent again.
Other recognized opt-out keywords may also be supported.
Opting out of SMS communications does not necessarily terminate your ServePS account or prevent communications through other channels where permitted.
Resubscribing
Where supported, you may be able to resume SMS messages by replying START or by re-enabling SMS communications through the applicable ServePS application.

Privacy
Mobile telephone numbers, SMS consent records, and SMS opt-in information are not sold or shared with third parties or affiliates for their own marketing or promotional purposes.
Information may be shared with telecommunications providers, messaging platforms, infrastructure providers, and other service providers only as reasonably necessary to provide, secure, operate, or support the messaging service.

Mobile Carriers
Wireless carriers are not liable for delayed, undelivered, or misdirected messages.
Delivery of SMS and MMS messages depends on telecommunications networks and other systems outside ServePS’s direct control, and delivery is not guaranteed.
Communications
By providing contact information to ServePS, you agree that we may contact you regarding your account, requested services, security matters, transactions, support requests, legal notices, and other administrative matters as permitted by law.
Promotional or marketing communications will be sent only when permitted by applicable law and, where required, after appropriate consent.
User and Organization Data
You retain ownership of information and content you or your organization submit to the Services, subject to any applicable customer or organizational agreements.
You grant ServePS the limited rights reasonably necessary to host, process, transmit, secure, back up, and otherwise handle that information for the purpose of operating and providing the Services.
When your account is provided through an employer, agency, or other organization, that organization may have rights to access, control, retain, export, modify, or delete information associated with the organizational account.
Third-Party Services and Integrations
ServePS Services may integrate with or rely upon third-party products, telecommunications providers, infrastructure providers, application stores, mapping services, payment processors, artificial intelligence services, or other external systems.
ServePS is not responsible for the independent acts, omissions, availability, terms, or privacy practices of third-party services.
Your use of a third-party service may also be governed by that provider’s terms.
Intellectual Property
The Services, including their software, interfaces, designs, workflows, graphics, trademarks, logos, product names, documentation, and other proprietary materials, are owned by ServePS or its licensors and are protected by applicable intellectual property laws.
Except as expressly authorized, you may not copy, reproduce, modify, distribute, sell, license, create derivative works from, or commercially exploit ServePS intellectual property.
Nothing in these Terms transfers ownership of ServePS intellectual property to you.
Feedback
If you provide suggestions, ideas, recommendations, feature requests, or other feedback concerning the Services, you grant ServePS permission to use that feedback without restriction or compensation to you.
Availability and Changes to Services
ServePS may modify, improve, replace, add, or remove features from the Services from time to time.
We do not guarantee that every Service or feature will always be available, uninterrupted, or compatible with every device, browser, telecommunications provider, operating system, integration, or third-party service.
We may perform maintenance or temporarily restrict access when reasonably necessary for security, maintenance, upgrades, or operational reasons.
Disclaimers
The Services are provided on an “as is” and “as available” basis to the fullest extent permitted by law.
ServePS makes reasonable efforts to provide reliable and accurate Services but does not warrant that the Services will be uninterrupted, error-free, completely secure, or suitable for every particular purpose.
Information presented through the Services should not be relied upon as a substitute for professional judgment where professional judgment is required.
Unless expressly stated otherwise, ServePS software does not independently provide medical, legal, financial, or other licensed professional advice.
Limitation of Liability
To the fullest extent permitted by applicable law, ServePS Software Solutions, LLC and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of or inability to use the Services.
Nothing in these Terms excludes or limits liability where such limitation is prohibited by law.
Additional contractual limitations of liability may apply to customers subject to a separate written agreement with ServePS.
Termination and Suspension
You may stop using the Services at any time.
ServePS may suspend or terminate access to a Service when reasonably necessary because of:
- violation of these Terms;
- unlawful or fraudulent activity;
- misuse or abuse of the Services;
- security threats;
- nonpayment where applicable;
- requests from an organization controlling the account;
- legal or regulatory requirements;
- discontinuation of a Service.
Termination does not affect rights or obligations that by their nature should survive termination.
Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes in our Services, business practices, legal requirements, or regulatory obligations.
When we make material changes, we will update the effective date above and may provide additional notice where appropriate.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles, except where applicable law requires otherwise.
